General terms AxonVendor

Version 1.0, 27 October 2026.

1. Who we are and how these terms are built

1.1. AxonVendor is a service of Axon Factory, a trade name of M. de Jager Holding B.V., established at Kweeklust 7, 2203 ZB Noordwijk, the Netherlands, Chamber of Commerce (KVK) number 60613319. Questions go to support@axonfactory.ai.

1.2. Every order of AxonVendor is governed by the General Terms and Conditions of Axon Factory, version 2.1 of 21 October 2026: Part A (general provisions) and Part D (digital products and document tools). You find this version at www.axonfactory.ai/voorwaarden/v2-1.

1.3. This text holds the product terms for AxonVendor, as meant in articles A2.3 and D7 of the Axon Factory terms. They add to those terms. Where they conflict, this text prevails. Where we name an article with a letter in front, such as A12, we mean that article of the Axon Factory terms.

1.4. "You" is the Client: the organisation that orders AxonVendor. Capitalised words, such as Client, Agreement and In Writing, have the meaning of A1. Further: the Vendor: a supplier or online service you put in your register; the Register: the list of your Vendors with the risk of your use of each, as CSV; the Analysis: the document (PDF and Word) about one Vendor you choose for a full analysis; the Questionnaire: the Word file with questions you can send to that Vendor yourself; the Overview: the document about all your chosen Vendors together; the Documents: the Register, the Analyses, the Questionnaires, the Overview and the other files of your order (Documents within the meaning of D1.1); the Delivery: the moment we e-mail you that the Documents are ready; the Call: the introductory call of article 8.

2. Who it is for

AxonVendor is only for companies and organisations with a Dutch Chamber of Commerce (KVK) number, ordering in the course of their profession or business (A2.5 and D1.4). Not for consumers. The right of withdrawal that consumers have therefore does not apply.

3. What AxonVendor is

3.1. You put your Vendors in a register and answer a few questions per Vendor about how you use it. A fixed rule set derives the risk of that use from your answers. For the Vendors you choose, up to the number of your plan (article 6), we make an Analysis and a Questionnaire.

3.2. For an Analysis we automatically read public pages of the Vendor, such as its privacy, security and trust pages, its data processing agreement and its list of sub-processors. We also run passive checks on the DNS, mail and TLS settings of the Vendor's domain. We never log in, never fill in forms and never try out vulnerabilities.

3.3. A language model extracts statements from those pages into a fixed schema. Every statement has a literal quote that demonstrably appears in the collected text. Without that quote, the statement is dropped. The language model only receives public text of the Vendor and, if we do not recognise the Vendor by its domain, the Vendor's name as you entered it. Never your answers, your name or your KVK number. The risk, the status of each safeguard, the questions and the contract advice come from the fixed rule set, not from the language model.

3.4. The Analysis attributes every statement: "On [date], [URL] stated: '…'". What we did not find is listed as "not found on the pages examined", with the pages examined and the date. What we could not examine is listed as "not examined", with the reason.

3.5. No person reviews your order before the Documents go to you. The Documents are made automatically.

4. What AxonVendor is not

4.1. An Analysis is a snapshot of public information on the date of collection and of your own answers. It is no audit of the Vendor and no judgement of the Vendor as a company. "Not found" does not mean that something is missing at the Vendor, only that it was not on the pages examined. The Documents are not updated when the Vendor, your use or the rules change later.

4.2. The Documents are a tool and not legal advice. The contract advice is a checklist of topics to go through, not an assessment of your contract. When in doubt, have your own situation or your contract assessed by an adviser.

4.3. You make the decision about a Vendor yourself. The Analysis helps you support and record that decision, but does not make it for you.

4.4. Axon Factory commits to best efforts, not to a result (A4.1).

5. The Questionnaire and the Vendor

5.1. You send the Questionnaire to the Vendor yourself, if you want to. Axon Factory is not a party to your contact with the Vendor, does not contact the Vendor on your behalf and never e-mails the Vendor about your order.

5.2. A Vendor can have itself excluded from automatic research by AxonVendor. When a Vendor is excluded, we read no pages of that Vendor and run no checks on its domain. The Analysis then states "not examined". That is not an error in the Analysis.

6. Price and payment

6.1. There are two plans, each a one-off payment. Entry: the Register with up to 3 Analyses, for € 49 excluding VAT (€ 59.29 including 21% VAT). Extended: the Register with up to 10 Analyses, for € 149 excluding VAT (€ 180.29 including 21% VAT).

6.2. You pay in advance through Mollie, the payment service provider of Axon Factory (D1.2). The Agreement is formed when you complete the order (A3.2). The invoice comes by e-mail from Axon Factory.

7. Delivery

7.1. After payment we collect the public information and make the Documents. You get an e-mail when we start and an e-mail with a download link as soon as the Documents are ready. Usually that is within the hour; it can take longer when a Vendor's website responds slowly.

7.2. The download link works for 60 days after the Delivery. After that we delete the Documents and cannot deliver them again. So save them yourself (D5.2).

7.3. If we cannot collect pages of a Vendor, for instance because they only show with JavaScript or after logging in, you still get an Analysis, with the safeguards concerned as "not examined". That Analysis counts as delivered.

7.4. If making the Documents fails altogether, we refund the full amount of the order (article 10.4).

8. Money back after a call

8.1. If you book a Call of 30 minutes with Mischa de Jager about the results within 60 days after the Delivery, we refund after the Call the full amount you paid for the whole order, so € 49 or € 149 excluding VAT plus the VAT on it. The Call must be booked within those 60 days. It may take place later, but no later than 90 days after the Delivery.

8.2. You book the Call through the link in the e-mail and in the Documents, with your order number. Nothing is attached to the Call: you do not have to buy anything afterwards.

8.3. You can move the Call once, up to 24 hours in advance, through the confirmation of the appointment or by e-mail to support@axonfactory.ai. The new date may be after the 60 days, but not after the final date of 8.1. If we move the Call, that does not count and the final date moves along where needed. If we cannot offer a Call before that date, we refund anyway.

8.4. If you do not show up without notice, you can book a new Call once within 7 days, before the final date of 8.1. If you do not show up again, the offer lapses.

8.5. We refund within 14 days after the Call, through Mollie to the account you paid from. The refund runs through the invoicing of Axon Factory (AxonHub) and you receive a credit invoice. You may keep the Documents. The offer applies once per order. An order with a voucher code for which you paid nothing is not covered.

8.6. This offer prevails over D4.3.

9. E-mails about your order

9.1. Besides the e-mail at the start and the e-mail at Delivery we send at most two reminders about the Call and the refund: on day 21 and on day 50 after the Delivery, only as long as you have not booked a Call and nothing has been refunded. Every reminder has a stop link. Your right to the refund stays if you use it.

9.2. You only get news and offers from Axon Factory if you choose so separately when ordering. That box is unticked by default and separate from your order. You can unsubscribe at any time, in every news e-mail or through support@axonfactory.ai.

10. If something is wrong or fails

10.1. If something in an Analysis is wrong in your view, report it within 60 days after the Delivery to support@axonfactory.ai, with what you think is wrong. This period replaces the 30 days of D4.2.

10.2. We check it against the stored evidence and let you know within 10 working days what we will do. First we correct: we adjust the Analysis and make the Documents again. If that does not solve it, we refund the full amount of the order.

10.3. A "not found" or "not examined" because the information was not on the Vendor's public pages, could not be collected or because the Vendor is excluded (article 5.2), is not an error in the Analysis. That is what the Questionnaire is for.

10.4. If making the Documents itself fails, we refund the full amount of the order without you having to do anything (D4.1).

10.5. If a Vendor asks for a correction and a statement in an Analysis turns out to be wrong because of an error in our extraction or wording, we make the Analyses with that statement that we delivered in the 60 days before again, and send you the corrected Documents with a short explanation. The Vendor never learns which customers had it analysed.

11. The Documents

11.1. The Documents are meant for the Client. You may use them for your own business and share them with your staff, your advisers, your auditor, your insurer and your customers (D3.1 and D3.2). You may send the Questionnaire to the Vendor.

11.2. Whoever receives the Documents through you, the Vendor included, cannot derive any rights from them against Axon Factory. You may not publish the Documents or offer them as your own product (D3.3), and you only name Axon Factory in a publication with its consent In Writing. If you share or publish the Documents other than this article allows, you indemnify Axon Factory against claims of third parties, the Vendor included, that arise from it.

11.3. The texts, the method, the rule set and the tool are Own Material of Axon Factory and remain hers (A10.1 and D3.4).

12. Liability

12.1. A12 and D6 apply to AxonVendor. Our liability is limited to direct damage (A12.2), up to at most the amount excluding VAT you paid for the order: € 49 or € 149. That cap still applies after we refunded the amount.

12.2. We are not liable for indirect damage (A12.3). That includes damage from claims of third parties, also of whoever received the Documents through you.

12.3. Nor are we liable for damage caused by an act or omission of a Vendor, by an incident at a Vendor, or by your choice for or against a Vendor or another decision you take on the basis of the Documents. Nor for damage because something is not in an Analysis, is listed as "not found" or "not examined", or changed after the date of collection. Nor for fines or other measures of a supervisory authority, or for the consequences of what you submit to a supervisory authority on the basis of the Documents, such as the register of information under DORA.

12.4. These limits do not apply in case of intent or deliberate recklessness of Axon Factory or its management (A12.5). Report damage In Writing as soon as possible; a claim lapses 12 months after you knew or could reasonably have known of the damage (A12.6).

13. Data and retention

13.1. We keep the Documents, your answers and your Register for 60 days after the Delivery. This prevails over the 30 days of D5.1. After that we also delete your e-mail address and keep only a pseudonymised (hashed) version.

13.2. We keep the order data for 12 months, an unpaid order for 30 days. We keep invoices for 7 years, as the law requires. We also keep the proof that you accepted these terms (the version, the language, the time, the order number and the invoice number) for 7 years, without company name, KVK number or address.

13.3. What we collected about a Vendor (the URL, the time, a hash and the plain text of the page, and the quotes) we keep for 12 months as evidence, without data about you or your order. That way we can check a question or correction request about an Analysis. The plain text of a page never goes into a document; an Analysis only holds short, literal quotes.

13.4. Axon Factory is the controller for this data (A11.4). More is in the privacy statement of AxonVendor.

14. Applicable law and disputes

Dutch law applies to these terms and every order; the Vienna Sales Convention is excluded. We first try to resolve a dispute together. If that fails, only the competent court of the District Court of The Hague decides (A17).

15. New versions and language

A new version of these terms applies to orders placed after it (A16.1). We record the version you accepted with your order, and every version remains available for download. These terms exist in Dutch and English; in case of a difference the Dutch text prevails (A18.4).

16. Free preview

16.1. Axon Factory may offer a free preview for one Vendor. You then only see the risk of your use of that Vendor and the number of safeguards for which we found a mention on the public pages and that are still open. A preview comes without an Analysis, a Questionnaire, sources or quotes and contract advice, and you have no right to an Analysis. This article applies to whoever requests a preview, also without an order.

16.2. A preview is a snapshot and no advice and no judgement of the Vendor. What articles 3 and 4 say about the Analysis also applies to the preview.

16.3. We only collect anything after you have confirmed your e-mail address. Axon Factory may refuse or limit a preview without giving reasons, for instance with a limit per Vendor, per e-mail address, per connection or per day.

16.4. If you order an Analysis of the same Vendor within 24 hours after the preview, we use the information collected for the preview instead of collecting again. The Analysis then states the date of that collection.

16.5. If you choose news from Axon Factory with the preview, that choice only counts if you leave it ticked when you confirm. You then also get one reminder of the preview, three days after the result. The result stays available for 30 days through the link in your e-mail. What we keep for a preview and for how long is in the privacy statement.
